The Association pursues exclusively and directly charitable purposes within the meaning of the section “Tax-Privileged Purposes” of the German Fiscal Code (Abgabenordnung) in the version currently in force.
The Association pursues the following charitable purposes:
- the promotion of development cooperation
- the promotion of international understanding, tolerance in all areas of culture, and the idea of international understanding among peoples
- the promotion of education, popular and vocational education, including student assistance
- the promotion of assistance for persons persecuted for political, racial, or religious reasons, as well as for refugees

§ 1 Name, Registered Office, Financial Year
- The Association bears the name “Interkulturelles Atelier Angelo Soliman – Echanges – Treffpunkt e.V. Berlin–Brandenburg.” The Association is registered in the Register of Associations. It may use the abbreviated name “Interkulturelles Atelier ASET e.V.” or “ASET e.V.”
- The registered office of the Association is Berlin.
- The financial year corresponds to the calendar year.
§ 2 Purpose of the Association
- The Association pursues exclusively and directly charitable purposes within the meaning of the section “Tax-Privileged Purposes” of the German Fiscal Code (Abgabenordnung) in the version currently in force.
- The Association pursues the following charitable purposes:
- the promotion of development cooperation
- the promotion of international understanding, tolerance in all areas of culture, and the idea of international understanding among peoples
- the promotion of education, popular and vocational education, including student assistance
- the promotion of assistance for persons persecuted for political, racial, or religious reasons, as well as for refugees.
- The statutory purposes are realized in particular through the following measures: ad 1: Support for rural development in countries of the Global South (e.g. schools, mills, animal husbandry, horticulture, promotion of women), preservation of indigenous knowledge and peaceful cultural life; promotion of intercultural exchange of experience in project work. ad 2: Educational measures on global learning and intercultural dialogue in Berlin, Brandenburg, and countries of the Global South; school partnerships between German schools and schools in the Global South, e.g. in Senegal and Nepal; networking with other relevant actors; promotion of intercultural exchange. ad 3: In Berlin: support of school-based (vocational) education—including in special needs schools—as well as further training, exchange programs, conferences, and seminars; school education for disadvantaged children in Indonesia; student assistance in Nepal; application and further development of holistic, participant-oriented and/or participatory communication and action formats; related counseling and coordination. ad 4: Individual support for refugees, including on a voluntary basis.
- For the purpose of cooperation, the Association may acquire membership in organizations with similar objectives or with a network character. Each such decision shall be taken by the General Assembly upon proposal of the Executive Board.
§ 3 Selflessness
- The Association operates altruistically; it does not primarily pursue its own economic purposes.
- The funds of the Association may be used only for the purposes set out in the Articles of Association. Members may not receive benefits from the funds of the Association in their capacity as members.
- Members shall not receive any shares of the Association’s assets upon leaving the Association or upon its dissolution or termination.
- No person may benefit from expenditures that are unrelated to the purpose of the Association or from disproportionately high remuneration.
§ 4 Membership
- Any natural person who supports the objectives of the Association (cf. § 2) may become a member.
- Membership ends upon death, resignation, or expulsion.
- In addition to ordinary members, the Association may admit supporting members and honorary members. Supporting members and honorary members are exempt from membership fees and do not have voting rights at the General Assembly.
- Admission of members shall take place upon submission of a written application for membership by a majority decision of the Executive Board. This decision requires confirmation by the next General Assembly.
An appeal against rejection of an application for membership may be lodged within four weeks after notification of rejection (the date of the postmark being decisive). The next General Assembly shall decide on the appeal (admission procedure). - Resignation of a member is possible only at six-month intervals. It must be declared in writing to the Executive Board, observing a notice period of four weeks.
- In the event of grossly negligent damage to the Association or a serious violation of its objectives and interests, expulsion may be effected with immediate effect by a majority decision of the Executive Board. The same applies if a member is in arrears with membership fees for six months despite two reminders.
The member must be given the opportunity to justify or comment prior to the decision. An appeal against the expulsion decision may be lodged within four weeks after notification of expulsion (the date of the postmark being decisive). The next General Assembly shall decide on the appeal (expulsion procedure).
§ 5 Membership Fees
- Members shall pay fees in accordance with a resolution of the General Assembly (cf. § 7 para. (2) no. 6).
- A simple majority of the voting members present and represented at the General Assembly is required to determine the amount and due date of the membership fees.
§ 6 Organs of the Association
- The organs of the Association are:
- the General Assembly
- the Executive Board
§ 7 General Assembly
- The General Assembly is the highest organ of the Association. It is responsible for all matters unless certain tasks have been assigned to another organ.
- In particular, the General Assembly has the following tasks:
- adoption of the guiding principles and main areas of work of the Association,
- amendments to the Articles of Association (with the exception of § 8 (12)),
- receipt of the annual report of the Executive Board, including the financial report,
- discharge of the Executive Board,
- approval of the budget plan prepared by the Executive Board for the next financial year,
- determination of the amount of the membership fee and regulations for fee reductions,
- election and removal of the members of the Executive Board and the two auditors,
- decisions on appeals against rejection of membership applications and against expulsion decisions of the Executive Board,
- decision on dissolution of the Association.
- The General Assembly shall be convened by the Executive Board at least once per year.
- Extraordinary General Assemblies shall be convened by the Executive Board if required by the interests of the Association or upon written request of at least two members of the Executive Board or at least one third of the members.
- The General Assembly shall be convened in writing by the Executive Board or an authorized person, observing a notice period of four weeks and stating the agenda. The invitation shall be deemed received if sent to the last (electronic) address provided in writing by the member.
- The General Assembly shall have a quorum if at least 40% of the members are present or represented. Voting by proxy is permitted only to members of the Association and must be submitted in writing/electronically to the chair of the meeting. A proxy counts as attendance of the represented member. One member may hold no more than two proxies.
- If a General Assembly lacks a quorum, the Executive Board shall convene a new General Assembly with the same notice period and agenda. This General Assembly shall have a quorum regardless of the number of members present or represented, provided this is expressly stated in the invitation.
- Each ordinary member has one vote at the General Assembly.
- The General Assembly is open to persons interested in the work of the Association or temporarily employed by it. For individual agenda items—particularly personnel matters—the Assembly may exclude the public.
- The General Assembly appoints the chair of the meeting and the minute-taker. Written minutes shall be prepared and signed by both. A list of members present and represented shall be attached.
- Resolutions of the General Assembly shall be adopted by a simple majority of votes cast. In the event of a tie, the motion shall be deemed rejected. Invalid votes count as rejections.
- In elections to the Executive Board, the candidates receiving the highest number of votes are elected. In the event of a tie, a run-off election shall be held.
- Amendments to the Articles of Association (exception: § 2 (1)) require a two-thirds majority of the votes cast.
§ 8 Executive Board
- The Executive Board conducts the ongoing business of the Association in accordance with the purposes set out in the Articles of Association and the resolutions of the General Assembly.
- In particular, the Executive Board has the following tasks:
- preparing and convening the General Assemblies,
- implementing the resolutions of the General Assembly,
- concluding and terminating employment and service contracts as necessary,
- representing the objectives and interests of the Association (cf. § 2) to the public.
- The Executive Board consists at a minimum of the Chairperson, a Deputy Chairperson, and the Treasurer. The number of board members may be increased to a maximum of five.
- The Executive Board within the meaning of § 26 of the German Civil Code (BGB) consists of the Chairperson, the Deputy Chairperson, and the Treasurer. Each of these board members has sole power of representation.
- The Executive Board is elected by the General Assembly for a term of two years. The Chairperson is elected by the General Assembly in a separate ballot.
- The incumbent Executive Board remains in office after expiry of its term until the election and registration of the succeeding Board.
- Board meetings shall take place at least three times per year. Invitations shall be issued in writing by the Chairperson or the Deputy Chairperson with a notice period of at least four weeks, stating the agenda. The invitation shall be deemed received if sent to the last (electronic) address provided by the board member.
- Board meetings shall have a quorum if convened in accordance with the Articles of Association and if at least two board members are present, including either the Chairperson or the Deputy Chairperson.
- The Executive Board adopts resolutions by a simple majority of the board members present. In the event of a tie, the motion shall be deemed rejected.
- Employment and service contracts must be signed by at least two members of the Executive Board.
- In urgent cases, resolutions of the Executive Board may also be adopted in writing or orally/electronically, provided that all board members declare their consent to this procedure in writing/electronically.
- Amendments to the Articles of Association required by supervisory, judicial, or tax authorities for formal reasons may be made independently by the Executive Board. Such amendments must be communicated promptly in writing to all members of the Association.
§ 9 Dissolution of the Association and Allocation of Assets
In the event of dissolution of the Association or the cessation of tax-privileged purposes, the Association’s assets shall be transferred to a legal entity under public law or another tax-privileged organization for use in promoting international understanding.
A resolution to dissolve the Association requires a three-quarters majority of the voting members present and represented at the General Assembly. Such a resolution may be adopted only if it has been duly announced in the invitation to the General Assembly.
